Terms & Conditions of Use

Welcome to Dakki Shop. These Terms & Conditions (the “Terms”) govern your access to and use of the dakki.shop platform (the “Platform”), operated by Urbicode Services LLC, a limited liability company organized under the laws of the State of Florida, United States of America (“Urbicode”, “we”, or “Dakki Shop”).
By accessing, registering, or using the Platform, you (the “User”) accept these Terms in full and without reservation. If you do not agree, you must refrain from using the Platform.
1. Definitions
- Platform: the website, mobile app, and associated services available at dakki.shop.
- Business (or “Shop Owner”): any individual or legal entity that uses the Platform to offer services or products via a business profile.
- Customer: any individual who uses the Platform to discover, book, or contact Businesses.
- Booking: any appointment request or product reservation generated by a Customer through the Platform.
- Content: text, images, data, audio, video, comments, or any other information uploaded by Users.
- Dakki Services: the set of technology tools we offer, including geographic search, agenda management, WhatsApp notifications, B2B subscriptions, and management dashboard.
2. Nature of the Platform · Intermediary Role
Dakki Shop is solely a technology intermediary that facilitates the connection between Customers and local Businesses. Urbicode does NOT:
- Directly provide the services offered by Businesses (haircuts, medical appointments, products, food, etc.).
- Process payments between Customers and Businesses. Any commercial transaction is completed outside the Platform, directly between the parties.
- Guarantee the quality, suitability, availability, legality, or compliance of the services or products offered by Businesses.
- Verify professional credentials, licenses, permits, or certifications of Businesses. It is the Customer’s responsibility to verify such information before engaging.
- Become a party to the contractual relationship between Customer and Business. Any dispute, claim, damage, or loss arising from that relationship is the sole responsibility of those parties.
Important notice: by using the Platform, you acknowledge and agree that any transaction, service rendered, product delivered, physical or property damage, economic loss, or conflict arising from a relationship with a Business is the sole responsibility of the Business and the Customer, and Urbicode shall have no obligation to mediate, indemnify, or bear any legal consequences.
3. Eligibility and Registration
- To use the Platform you must be at least 18 years old and have full legal capacity to enter into binding agreements under the laws of your country.
- Registration as a Business requires being the actual owner of the business or being duly authorized to represent it.
- You agree to provide truthful, complete, and current information. You are responsible for maintaining the confidentiality of your credentials and for notifying us immediately of any unauthorized use.
- Urbicode reserves the right to suspend or cancel any account that violates these Terms, without prior notice and without a refund obligation.
4. Business Services · Subscriptions
Businesses may access subscription plans (Free, Pro, Enterprise) with different limits and features. Specific terms are published on the pricing page.
- Payments are processed by third-party providers (Stripe). By subscribing, you accept the payment processor’s terms.
- Subscriptions renew automatically at the end of each cycle unless expressly cancelled by the Business before the end of the current period.
- No refunds are granted for partial periods, unused days, or early cancellation, except where applicable law expressly requires otherwise.
- Urbicode may modify plans, prices, or features at any time, with at least 15 days’ advance notice via email or the Platform.
5. Bookings and Cancellations
- Bookings generated by Customers are communications of intent directed to the Business. Confirmation or rejection is the sole responsibility of the Business.
- Customers are responsible for attending booked appointments on time. Cancellation, refund, or rescheduling policies are set by each individual Business.
- Urbicode does not participate in disputes related to unhonored bookings, delays, no-shows, or service quality.
6. Acceptable Use
It is prohibited to use the Platform to:
- Upload false, misleading, fraudulent, defamatory, obscene, discriminatory, violent content, or content that infringes third-party rights.
- Offer illegal or unauthorized goods or services, or any that require licenses the Business does not hold.
- Engage in reverse engineering, mass scraping, denial-of-service attacks, or any activity that compromises the security or availability of the Platform.
- Impersonate any other person or entity.
- Collect personal data from other Users without their express consent.
- Use the Platform for spam, unsolicited marketing, or any communication that violates data-protection laws or WhatsApp Business Policy.
Breach may result in immediate account suspension and corresponding legal action.
7. User Content and License
You retain ownership of the Content you upload to the Platform. However, by uploading it, you grant Urbicode a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, adapt, distribute, display, and communicate such Content for the purpose of operating, promoting, and improving the Platform.
You represent and warrant that you hold all necessary rights over the Content and that your use does not infringe third-party rights. You shall indemnify Urbicode for any claim arising from the Content you upload.
8. Dakki Shop Intellectual Property
The Dakki Shop trademark, logo, text, graphics, source code, designs, databases, and other Platform elements are the exclusive property of Urbicode Services LLC and are protected by applicable intellectual-property laws. Reproduction, distribution, or commercial use without prior written authorization is prohibited.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Platform is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Urbicode shall not be liable for indirect, incidental, special, consequential, or punitive damages, nor for loss of profits, revenue, data, business opportunities, or reputation, even if advised of the possibility of such damages.
- In no event shall Urbicode be obligated to pay any monetary damages arising from use of the Platform, from the conduct of Businesses or Customers, from transactions between them, or from services or products provided or offered through the Platform. Notwithstanding the foregoing, in the extraordinary event that a competent authority determines that some liability attributable to Urbicode cannot be excluded under applicable law, Urbicode’s total aggregate liability, contractual or tortious, shall be limited to the nominal sum of USD 100.00 (one hundred United States dollars), as a single, final, and indivisible figure for all claims of the same User.
- Urbicode shall not be liable for temporary service interruptions, failures of third parties (Supabase, Stripe, Cloudflare, Google, Meta, WhatsApp providers, etc.), force majeure, fortuitous events, cyber attacks, or any other circumstance beyond our reasonable control.
10. Indemnification
You agree to defend, indemnify, and hold harmless Urbicode Services LLC, its officers, employees, agents, and affiliates, from any claim, demand, loss, cost, or expense (including reasonable attorneys’ fees) arising from: (i) your use of the Platform; (ii) your breach of these Terms; (iii) your violation of third-party rights, including intellectual-property, privacy, or publicity rights; (iv) the Content you upload; and (v) any dispute with another User of the Platform.
11. Termination
You may cancel your account at any time from your profile settings. Urbicode may suspend or terminate your access, without prior notice, in case of breach of these Terms or when deemed necessary to protect the integrity of the Platform or other Users. Clauses that by their nature must survive termination (intellectual property, limitation of liability, indemnification, governing law) shall remain in effect.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict-of-laws principles. Any controversy arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Miami-Dade County, Florida, the parties waiving any other venue or jurisdiction that may correspond to them.
Notwithstanding the foregoing, Users who are consumers may invoke the mandatory consumer-protection legislation of their country of residence when applicable.
13. Modifications
Urbicode may modify these Terms at any time. Modifications will be published on this page with the new update date. Continued use of the Platform after publication constitutes acceptance of the modified Terms. If you do not agree, you must cease use of the Platform.
14. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a competent court, such provision shall be deemed removed without affecting the validity of the remaining provisions, which shall remain in full force.
15. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Urbicode may assign these Terms, in whole or in part, to any affiliate, successor, or acquirer of its assets.

These Terms constitute the entire agreement between you and Urbicode Services LLC regarding the use of the Platform and supersede any prior agreement, oral or written.
